Agreement Between Moving to Master, LLC and Sponsor/Exhibitor

This Agreement is made between Moving to Master, LLC (“Moving to Master”) and the entity identified as Sponsor/Exhibitor regarding participation in the 2026 Special Needs Planning Symposium, which will be held at the Meritage Resort & Spa in Napa, California, from February 5–7, 2026 (the “Symposium”).

Sponsor/Exhibitor wishes to support or participate in the Symposium following the terms of this Agreement and the Symposium Privacy Policy, which is incorporated herein by reference. In exchange for good and valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows:

Exhibit Hall & Booth Assignments

We strive to create the best possible experience for all participants. Booth space will be assigned by Moving to Master based on sponsorship level, registration date, and overall event flow. Your booth assignment is confirmed upon full payment of all applicable fees.

To ensure a positive experience for all attendees, we ask that exhibitor activities remain within your designated booth space. If you have special requests for material distribution or unique engagement opportunities, please contact our team in advance for approval. We are happy to work with you to maximize your visibility while maintaining the professional atmosphere of the Symposium.

Event Access

All registered exhibitor and sponsor representatives receive full access to the Symposium, including all educational sessions, food and beverage functions, networking events, and parties. The number of included registrations varies by sponsorship level and will be specified in your sponsorship package details.

Payment Process

To secure your spot, full payment for the booth or sponsorship is required by credit card or ACH/wire transfer. Your space and benefits will be confirmed promptly upon receipt of payment.

To maintain fairness for all participants, the Agreement will be considered void if payment is not received within 15 days of signing.

Venue Guidelines & Professional Standards

As partners in creating a successful event, we ask that you comply with all hotel and venue regulations. Moving to Master is committed to maintaining a professional, inclusive, and respectful environment throughout the Symposium. We appreciate your cooperation in ensuring all exhibits and personnel conduct align with these values.

Safety is our priority. Please ensure that all displays and activities meet safety standards and that proper licenses are secured for any copyrighted materials. Setup and teardown schedules will be communicated separately before the event.

Electrical Requirements

If your exhibit requires electrical power, notify us by December 31, 2025. Power requirements may incur additional charges. Requests made after the deadline cannot be guaranteed.

Cancellation Policy

We understand that plans can change. Should you need to cancel your participation:

• All cancellation requests must be submitted in writing to Maddie@MovingtoMaster.com.
• Cancellations received on or before December 15, 2025, will be refunded, less a $500 administrative fee.
• After December 15, 2025, we are unable to offer refunds due to commitments made to the venue and other service providers.

Moving to Master values our partnership with sponsors and exhibitors and works to create a collaborative, mission-aligned event. In the rare instance where an exhibit or sponsorship may not align with the Symposium’s goals or tone, we reserve the right to discuss modifications. We are committed to finding solutions that serve your goals and the event’s integrity.

Collaborative Environment

To maintain the Symposium’s unique value for all participants, exhibits should not include products or services that directly compete with those of Moving to Master. If a potential conflict is identified, we will discuss alternatives, including a refund minus a $500 administrative fee if a resolution cannot be found.

Liability Considerations

All Symposium opportunities are provided “as is.” Moving to Master disclaims all warranties and limits its liability to the amount paid by the Sponsor/Exhibitor. Liability does not extend to indirect or consequential damages.

Insurance Requirements

For everyone’s protection, Sponsor/Exhibitor is responsible for their materials and activities and agrees to maintain appropriate insurance coverage, including:

• Workers’ compensation per statute
• Employer’s liability ($1M minimum)
• Commercial general liability ($1M per occurrence)

Security Arrangements

While we take reasonable precautions, exhibitors are responsible for safeguarding their materials. We recommend removing valuable items when your booth is unattended. Moving to Master does not provide dedicated security services and is not liable for any losses.

Intellectual Property

Moving to Master retains ownership of its trademarks and must approve any usage. By participating, the Sponsor or Exhibitor grants Moving to Master permission to use its trademarks in event promotions.

Moving to Master may photograph or record exhibit areas to use in future promotions as part of documenting the success of our event.

Event Recording

The Symposium may be recorded to share knowledge and expand its impact. Sponsor/Exhibitor grants Moving to Master a royalty-free license to use any recordings or appearances for promotional purposes.

Unforeseen Circumstances

In the event of cancellation due to circumstances beyond Moving to Master’s control, we will work to reschedule or, if necessary, provide a partial refund less a $500 administrative fee.

Legal Framework

This Agreement shall be governed by California law. Any disputes will be resolved in the courts located in Napa County, California.

Dispute Resolution

In any dispute arising from this Agreement, the parties agree to first attempt resolution through mediation before a mutually agreed-upon mediator in Alameda County, California. The parties shall share equally the costs of mediation. If mediation does not resolve the dispute within 60 days of the initial request, either party may proceed with litigation.

Relationship Clarification

This Agreement establishes a business relationship but does not create a partnership, joint venture, or agency relationship.

Agreement Compliance

Your compliance with this Agreement helps ensure a successful event for all participants. Failure to comply may necessitate adjustments to sponsorship or exhibit arrangements.

Attendee Information (Select Sponsors Only)

As an added benefit, certain sponsor levels receive a Symposium attendee list with the following guidelines:

• One-time use for relevant communications within 60 days of the event.
• Confidential handling with no duplication, database import, or third-party sharing.
• No communications after February 15, 2026.

Complete Agreement

This Agreement represents our complete understanding. Any modifications must be made in writing. If any provision is unenforceable, the remainder of the Agreement remains in effect.

The Agreement may be executed in counterparts, each of which shall be deemed an original.
